Terms & Condition

1. GENERAL

These terms & conditions are applied to a user who has access to avail the services provided by BIKELELE. These will regulate & govern the relationship between BIKELELE and "User". BIKELELE and "User" are hereinafter will be collectively referred as "Parties" and individually as "Party". These terms & conditions shall constitute a legally valid & binding contract under the applicable laws. Use of any service through BIKELELE’s Website/App by the user shall be deemed to be an acceptance of all terms and conditions set forth herein. User is advised to read these terms and conditions carefully before registering/using on the Website/App or availing any services through the same. User is advised not to use the Website/App or avail any services being offered through them by BIKELELE, if a user doesn’t agree with these terms and conditions. BIKELELE reserves the right to change/alter/modify these terms and conditions in its sole discretion, from time to time, with or without prior notice to the user. Notice of any changes shall be made by BIKELELE promptly & communicated to the user. In the event of any conflict between these terms and conditions or with any other document related to BIKELELE, these terms and conditions shall govern. All the terms and expressions are defined under ANNEXURE A. BIKELELE is a wholly owned and controlled enterprise of Ramasurya rentals & consultant private Limited. BIKELELE (name and its logo) are trademark of Ramasurya rentals & consultant private Limited.

2. USER REGISTRATION

In order to avail the Services offered by BIKELELE, User shall be required to complete the Registration process through its official Website/App. User registration must satisfy the eligibility criteria & be supported by all the necessary documentation mentioned under ANNEXURE A. Just by satisfying the eligibility criteria an applicant will not be automatically given a right to become a user and avail the services offered by BIKELELE. Registration acceptance is subject to approval by BIKELELE at its sole discretion. BIKELELE reserves all the rights to verify the authenticity of the documents provided by the applicant/user at any point of time.

3. TERMS OF USE

Bookings:

All the bookings will be processed by BIKELELE based on availability and on a first-come-first-serve basis. BIKELELE doesn’t guarantee the availability of a vehicle or a particular vehicle at any given time. Any extension of the initial rental period of the vehicle will be granted subject to availability of that vehicle. All the bookings to avail any of the services offered by BIKELELE through the official Website/App have to be made solely by User. The User shall not make any booking on behalf of any other person or User. By breaching of this term, User shall be liable for all consequences arising from use of the vehicle in any & all conditions. User shall be liable to pay any penalty levied by BIKELELE in this regard.

Vehicle Pick-Up and Return:

The vehicle shall be picked up by the user from the designated place specified by BIKELELE on its Website/App, only after the identity of the user has been verified.

It shall be the User’s responsibility to inspect the Vehicle carefully. In case of any damages or malfunction, User shall immediately inform BIKELELE for the same, failing which BIKELELE shall not be responsible for any consequences arising from it there from.

Booking time shall be taken into account from the moment the User gains the physical possession of the vehicle. At the end of booking, User shall return the Vehicle to the designated place specified by BIKELELE while booking the Vehicle.

It is the User’s responsibility to return the Vehicle in the same condition as it was received except normal wear and tear. In the event of any damages and/or repairs on account of the use by the User, User shall bear all the actual expenses in relation to the same. BIKELELE shall also be entitled to levy any penalty on every day that the User is in delay of returning the Vehicle.

(Refer the Annexure-C on Penalty, Damage & Repair Policy for more details and Annexure-A in case of Home Delivery/Pickup).

User Responsibilities:

a) The User shall use the Vehicle in compliance with all applicable laws.

b) User cannot allow any person other than himself/herself to use the Vehicle that has been obtained by the User from BIKELELE.

c) All the risks associated with custody of Vehicle shall be with User and the User shall be responsible for securing the Vehicle from all human or natural factors/Conditions, from the time the Vehicle was picked up by the User, and until it is returned.

d) The User must ensure the safety of the documents provided to the user at the start of his booking. These can include the Registration Certificate, Insurance Copy, Invoice Copy, Permit Copy, and Pollution under Control Certificate etc.

e) The User shall use the Vehicle only within the area specified by BIKELELE. For details on the areas for vehicle usage please refer to the Annexure F.

f) User must ensure the safety of all equipment provided with Vehicle like helmets, Navigation system or any other. User will be charged by BIKELELE for any such misplacements, damage or alterations done by the user.

g) No alteration/modification/tweaking with any Electronic/Mechanical/Body part of the Vehicle is allowed. In case any alteration/modification/tweaking is done by the User then the User shall be liable to get the same removed and restore the vehicle in the same condition as it was handed over to the User by BIKELELE, at his/her own cost.

h) In the event of tyre puncture, it will be the responsibility of the user to get it fixed on his/her own expense.

i) In the event of theft of the Vehicle or any of its part(s), helmet, accessories, Navigator, etc., User must report the incident to BIKELELE immediately and file a complaint at the nearest Police Station. User shall not provide any misinformation or discrepancy in the filing of complaint, any such thing will be treated against the law and concerned authorities may take legal action against the User. The financial liability lies with the customer in such cases of theft.

j) User shall comply with all the safety standards like speed limits, age limits and any other instruction being displayed/Communicated by the concerned authorities in various locations where the Vehicle is driven by User.

k) The User is fully responsible for all their belongings. BIKELELE shall not be responsible for any belongings of the user during or after the trip by the User. User is advised to check the vehicle thoroughly before handing over the same to the parking station.

l) The User shall be responsible to not disclose any BIKELELE account related information, password or PIN to third parties. The User shall be solely responsible for a penalty of Rs 10000 or whatever amount BIKELELE decides on its own discretion, in case of unauthorized use of such information by third parties. If it is in the knowledge of the User that a third party may have obtained password or PIN in an unauthorized manner, the User shall report the same to BIKELELE immediately & and get the credentials changed immediately. All the responsibilities mentioned above are subject to change from time to time and are only indicative. BIKELELE reserves the rights to change the terms and conditions mentioned herein.

Vehicle Failure/Breakdowns

In the event of a Vehicle failure/breakdown, the User should inform BIKELELE immediately. In case of such failure/breakdown is due to User’s negligence/default, the User shall also have to bear the expense arising out of the same along with incidental expenses and loss of revenue. BIKELELE will see if a replacement Vehicle can be provided to the User, subject to availability and area, if the failure/breakdown hadn’t arisen due to User’s negligence/default, however BIKELELE is not bound for the same.

Provision of the replacement vehicle is subjected to the availability and will strictly not be provided if the Vehicle failure/breakdown is due to customer negligence/reasons. The Vehicle failure/breakdown will be termed as customer negligence if it is not reported prior while accepting the vehicle during booking start or occurs in the absence of BIKELELE.

Indicative list of Failure & Breakdowns*:

a) Vehicle not starting due to any reason

b) Fuel leakage

c) Break Failure

d) Clutch/Acceleration Failure

e) Head light/Tail light not functioning

f) Drive Chain broken

g) Any cable broken

h) Accident of any sort

*The above list from ‘a’ to ‘h’ is only indicative in nature. Any other type of failure or breakdowns not covered above shall also be covered as and when they appear.

Accidents and Damages

All accidents, damages to the Vehicle, challans (Annexure-D) or notices issued by any authority concerning the Vehicle while it was under the User’s custody, shall be intimated to BIKELELE within one hour of such incident. The User shall also report the details regarding the incident in writing.

User must file a police complaint in case of an incident involving damage to the third person or property of any third party due to the use of a Vehicle by User and must provide a jointly agreed-upon statement and cooperate with BIKELELE in obtaining the following details:

a) Date, time and Place of Incident

b) Registration number, make and year, insurance certificate’s number (with name, address and phone number of the insurance agent) of any other vehicles involved.

c) The names, addresses and driver License numbers of the person involved in the incident and the Vehicle owner (if he or she was not driving).

d) The names, addresses and phone numbers of witnesses and any other involved persons

e) Information of the incident describing surroundings and Vehicle before and after the incident The User shall be liable to compensate BIKELELE for any loss on account of discrepancy in User’s complaint.

Investigation of Accidents

The User account may be suspended until such an investigation has been concluded. The User must cooperate with BIKELELE, the Executive Authorities, Police personnel or any other claim settlement agency in relation to the incident involving BIKELELE’s Vehicle while it was being used by the User. The User shall fully cooperate with BIKELELE in the investigation.

The liabilities with regard to any payment made which is not supported by legal mandate by the User with third parties will be borne by User.

In case of any damage to the Vehicle while it was being used by the User, BIKELELE shall be entitled to charge the repairing cost of the Vehicle, to the extent that’s not covered by BIKELELE’s insurer. BIKELELE shall also charge the revenue loss, if any, due to such incident. If any damage to the Vehicle is caused due to violation of the terms and conditions of BIKELELE or the applicable laws, the User has to bear the entire cost of Vehicle repair, damages caused to third parties and compensations to be paid to the victim. In case of complete loss of the vehicle, the User shall be liable for the entire amount of the vehicle not recovered from the Insurance Agency in addition to the registration and insurance charges of a new vehicle to replace the completely damaged vehicle.

Insurance and Liability

All the vehicles of BIKELELE are completely insured. In the case of an incident where the User is in full compliance with all the terms and conditions of BIKELELE and applicable laws, BIKELELE shall provide primary third party liability protection, to the extent of claims/liabilities covered by BIKELELE’s insurers on its Vehicles during the use of the Vehicle by the User. However, BIKELELE shall have no role to play in ensuring the third party protection allotment.

The User shall bear all the charges up to INR 15000 for any damage. If damage incurred to vehicle amounting more than INR 15,000, insurance will be claimed. In the case where claims exceed the insured amount, the User shall be liable for any such additional amount to be paid. In the case when insurance will be claimed, the user is liable to pay rent of vehicle for the days vehicle is engaged in claim process.

BIKELELE shall not be liable for any loss, theft, damage etc. of any personal property of the User, Co-passenger or any third party. BIKELELE shall also not be liable to any damages, claims etc. of any third party arising out of any accident or mishaps etc. after the User has taken the possession of the vehicle.

Cancellation of Bookings

Bookings made through the Website/App shall be cancelled through the same. The User may also cancel bookings by calling BIKELELE’s helpline by providing adequate details regarding the User and bookings. The User shall be intimated of the cancellation via the same mode.

Cancellations are subjected the charges and the nature of cancellations. Refer Annexure-G, Cancellation and Refund Policy for more details.

Refund and Reimbursements

Refund on any cancellation shall be made subject to applicable deductions. Refer Annexure-G, Cancellation and Refund Policy for more details.

4. PROHIBITED USE

a) The Vehicle must not go beyond the area specified by BIKELELE.

b) User must not allow any other person to use the Vehicle. Vehicle shall be used exclusively by the Users for their personal use only unless and until it is not booked as per commercial usage policy mentioned in Annexure-E

c) The User must ensure that only one passenger along with the driver is on the vehicle at any given point of time. The total number of people on the vehicle shall not exceed two in any case.

d) Vehicles must not be used in violation of any of the applicable laws along with traffic laws.

e) Vehicle must not be used in any anti-social or criminal activities, also, for any activity which is deemed illegal under applicable laws.

f) Vehicle must not be used for racing, performance or stunts.

g) Vehicle must not be used as carriers for transporting goods or people for monetary gain until it is not booked as per commercial usage policy mentioned in Annexure-E

h) Vehicle must not be used under the influence of Alcohol, drugs or any mind altering substances.

i) Vehicle must not be used for any activities which cause excessive wear and tear or damage to it.

j) The User must neither do any tampering with the Vehicle in any manner nor any modifications in the Vehicle by attaching external fitments.

k) The User must not carry any item on the Vehicle which is deemed illegal as per Indian law, like Weapons, Inflammable items, drugs, Sharp objects etc.

l)BIKELELE shall monitor the speed limits of its vehicles given to users. In case the speed of the vehicle goes beyond given speed limit of vehicle at any given point of time, BIKELELE may penalize the user for violation of speed norms of BIKELELE’s Terms & Conditions. In case there is continuous overspeeding/racing by the user then no refund will be made. The same shall apply in case of exceeding the speed limits of the respected areas.

BIKELELE & its representative reserve the right to check vehicle at any time during tenure of rental. BIKELELE reserves the right at its sole discretion to identify any activity as prohibited and inappropriate. Any such activity shall be treated as material breach of these terms and conditions. The User will be solely responsible for all the consequences arising from it. BIKELELE reserves to terminate/suspend User’s registration and/or withdraw services rendered to the User and levy a penalty. BIKELELE shall also take legal action under applicable laws for any breach in these terms and conditions.

In case, BIKELELE receives any knowledge that the user has driven the vehicle under any influence of any alcohol or drugs or any narcotics substance, BIKELELE shall have the right to inform the same to the authorities for appropriate action.

5. CANCELLATION AND TERMINATION OF REGISTRATION

The User’s registration with BIKELELE shall be valid unless cancelled/terminated by BIKELELE.

BIKELELE reserves the right to terminate/suspend User’s registration and/or withdraw services rendered to the User on account of any breach of BIKELELE’s terms and conditions, any information made by the User are found to be false or on account of violation of the Applicable laws or user found violating any of the Prohibited use terms. BIKELELE at its sole discretion may allow the User to rectify its breach within a period specified by BIKELELE.

6. INDEMNITY AND LIMITATION OF LIABILITY

The User shall indemnify, keep indemnified and hold BIKELELE harmless and its directors, officers, employees, agents and representatives from and against any action, suits, complaints, proceedings, damages, losses, costs, expenses (including reasonable attorney's fees and court costs), fines, penalties, claims, counterclaims, actions or liabilities incurred or suffered by BIKELELE and/or of its directors, officers, employee’s agents and representatives in any manner as a result of

a) Any breach by the User, of the terms and conditions set forth herein

b) Any act of the User that results in personal injury (or death) or tangible or intangible property damage to any third-party.

The User hereby acknowledges that under no circumstances shall BIKELELE be liable for any damage that result in any way from the User’s use of or inability to use, the Services. The total liability of BIKELELE under these terms and conditions shall in no event exceed the total Fees paid by the User in relation to the Services.

7. PRIVACY AND DATA PROTECTION

Privacy of User will be top priority of BIKELELE. The User however agrees that the Personal information of the User may be used by BIKELELE or be shared with third parties:

a) For promotional purposes

b) In the event of legal disclosures

c) For KYC purpose

d) For reporting incidents

e) To provide support

f) For improving the service

Location of each and every Vehicle will be tracked by BIKELELE to prevent theft & identify the User’s location for safety reasons.

8. JURISDICTION & DISPUTE RESOLUTION

All the terms and conditions will be governed under Indian law. In case of any dispute between the parties, the courts of GAUTAMBUDDH NAGAR shall have exclusive jurisdiction over any dispute arising out of or in connection with this agreement.

ANNEXURE A- DEFINITIONS

a) App – BIKELELE’s mobile application available on any Mobile platform or web platform.

b) Fees – the amount to be paid by the User including security deposit to avail BIKELELE’s services. Fees may be changed by BIKELELE in its sole discretion, from time to time.

c) Personal Information – it means the Name, Contact numbers, address, E-mail id, age, gender, driving license details, Aadhaar card or any other identity proof, device location, IP address and any other data shared by User with BIKELELE.

d) Services – various type of Vehicle rental and ancillary services provided by BIKELELE.

e) User – shall mean to include any individual or person who registers with & avails the services of BIKELELE, body corporate means the body corporate which registers with & avails the services of BIKELELE.

f) Vehicle – all vehicles used for rendering the services owned/under the control and possession of BIKELELE.

g) Website – means www.bikelele.com

ANNEXURE B- ELIGILIBILTY CRITERIA AND SUPPORTING DOCUMENTS

Eligibility Criteria:

a) Users must be above the age of 18 (20 years of age in respect of certain categories of Vehicles)

b) Users must possess a valid driver’s license (two wheeler) issued by the Government of India to operate the Vehicle or International Driving license in case of citizen of any other country.

c) Users must possess sufficient identity, age and address proof

Supporting Documents:

a) Proof of Identity

b) Proof of Age

c) Proof of Permanent Address

d) A valid Driver’s License to operate the Vehicle

e) Recent colour photographs means Selfie

ANNEXURE C- PENALTIES, DAMAGE, CHALLANS & REPAIR POLICY

The following list details the penalty amount in the respective incidents. Please note that this is just indicative and not exhaustive and can be updated by BIKELELE from time to time

ANNEXURE E- Guidelines for Commercial use of the Vehicle

Any user who wants to use the Vehicle for any kind of commercial activities must inform BIKELELE in advance regarding:

• The nature of work

• Area of Service

• Details of his/her employer

• Proof of association with the employer

BIKELELE will confirm all the above mentioned details & it is on sole discretion of BIKELELE to provide the Vehicle for commercial activities to a user. The rental for commercial use will be different from BIKELELE’s regular services & it will be communicated before booking. A user will have the following additional responsibilities in addition to all the responsibilities mentioned in this document:

a) The customer warrants that the information it provides to the Company is accurate and complete. The company is entitled at all times to verify the information that has been provided through both online and offline mediums.

b) The company shall have the sole discretion to accept or reject each request for the Service.

c) The vehicle must be used only for the purpose mentioned during the booking.

d) The vehicle must be used only for the employer mentioned during the booking. Any change intended must be informed in advance.

e) The user must not carry out any service & maintenance on vehicles other than the basic activities like: tyre puncture, lubrication, Breaks adjustment. All the regular & breakdown maintenance will be done by BIKELELE by their authorized technicians. User will inform BIKELELE immediately in case of any breakdown incident.

f) The user must not do any modifications in the Vehicle to facilitate the commercial activities.

g) The user must not carry any item with a weight of more than of 30kg on a vehicle and should be within the allowed dimensions of 550 mm long and 510 mm in width.

All the terms & conditions of BIKELELE shall apply as a whole for the commercial usage of the vehicle.

ANNEXURE F- Guidelines for Vehicle Usage

1. The user must not do any modifications in the Vehicle to facilitate the commercial activities.

a. The Usage areas/locations are categorized as below:

2. In any case of using the vehicle outside the specified limit, user must inform BIKELELE in advance (with written being must), prior to the booking with details on the location and duration.

3. For usage outside the said area limits, user must pay the relevant state border taxes, municipal taxes and toll taxes to the respective authorities wherever applicable in advance.

4. Since, every state has different procedures thus, the user must check for any such charges is advance via the transport websites or local authorities concerning the area. BIKELELE will not reimburse any such charges.

5. BIKELELE in no condition will not be held responsible in case the user has been penalized due to lack of requisite state-entry documents/invoices.

6. A customer can’t take vehicle to any area prescribed by BIKELELE.

7. BIKELELE in no case permits to move the vehicle to out of station. NO refund will be initiatedand legal actions will be taken if the vehicle is taken to the mentioned locations.

8. In any case of vehicle being seized by traffic police or any other authority, the entire expenses and legal proceedings henceforth is to be borne by the customer and BIKELELE shall charge the late return in case the vehicle is submitted beyond the ride time.

9. The user in any condition must not drive the vehicle to any area that is unauthorized or restricted to drive by the authorities at the time.

10. The Pollution Certificate (PUC) of the Vehicle at the start of the ride will be provided by BIKELELE, however in case of any expiry of the PUC during the booking tenure, it is the responsibility of the user to renew the PUC on time.

11. It is the liability of the customer to clear the vehicle of any kind of Challans that are dated within the booking tenure before the handover of the vehicle to BIKELELE. In cases of late notifications of challans, the user shall hold the responsibility of clearing them if dated within the booking period.

12. The helmet(s) if provided at the start of the booking must be returned while ending the ride. Any damage to the helmet is subjected the penalty with respect to the damage done.

13. Door Step delivery and pickup is subjected to the availability of BIKELELE, its executives, environment, the nature/reason of the said service and other conditions. The Door step pickup and delivery service is subjected to certain charges based on the distance of the respective.

14. A Trip extension request is to be made at least 2 days before the ride end time. Such requests are to be made to the Customer care, mobile app or website.

15. Any extension of the on-going booking is subjected to availability of the vehicle and any future bookings. BIKELELE does not guarantee successful extension of every booking even if made in advance. In case the User is unwilling to return the vehicle in case of a denied extension request, penalty charges will be applicable.

16. Charges in case of extension of ride shall remain the same as per the extension package shown over the platform. However, in case of extension of a service within 24hrs of the end ride time or post, an extra charge shall be applied as the extension convenience fee.

17. Extension charges should be paid fully in advance through online payment methods in order to extend the booking successfully. In case of no prior information, the booking would have said to be terminated and the User shall handover the vehicle successfully to BIKELELE.

18. The user must ensure the availability of the necessary documents at the time of start of his booking. The documents include the Registration Certificate, Insurance Copy, Permit, Fitness certificate, PUC, Rental License copy.

ANNEXURE-G, Cancellations and Refunds

1. Bookings made through the Website/App shall be cancelled through the same. The User may also cancel bookings by calling BIKELELE’s helpline by providing adequate details regarding the User and bookings. The User shall be intimated of the cancellation via the same mode.

2. Refund on any cancellation shall be made subject to applicable deductions.

3. Cancellations are subjected the charges and the nature of cancellations, with categorization as below:

In case when booking is done by paying partial payment of total rent, no amount is refundable on cancellation at any point of time.

4. In case the User fails to show up for his booking at the pickup time, the booking shall be treated as a No Show and no charges shall be reimbursed.

5. In case the User is unable to produce a valid license or valid government id during the vehicle pickup/delivery time, the booking shall be cancelled with 100% deductions.

6. BIKELELE is not liable to reimburse any expenses due to any type of cancellation associated to any third party not connected with BIKELELE or the services provided by BIKELELE.

7.In case of cancellations due to vehicle unavailability by BIKELELE, BIKELELE shall reimburse full amount to the original method of payment.

8. Any return after the booking is started and the vehicle is accepted by the User, shall be classified as premature surrender.

9. Refund for any case will be processed within a maximum timeframe of 28 working days from BIKELELE. However, the same can take even more to reflect back to the User’s account depending upon the bank, payment mode and other factors.

ANNEXURE-H, Fare and Extra Charges

1. The fares shown in the website/app with respect to the packages or other services are inclusive of GST. The User can see the breakdown of all packages in the payment summary page.

2. The prices for same vehicle can vary depending upon the location, availability, any customizations, time, duration or other factors.

3. The vehicle would be provided with sufficient fuel at no cost to drive to any nearest fuel station, where we recommend getting the fuel refilled as per the User needs. BIKELELE will not entertain any requests pertaining to an empty fuel tank after the booking is started. No fuel reimbursement shall be entertained in case of extra fuel available at the time of return of vehicle.

4. Any promotion, special offers, coupon codes or free credits are solely at the discretion of BIKELELE and may be withdrawn or deducted anytime without prior intimation to the User.

ANNEXURE-H, Electric Vehicle

1. In case of any booking related to the electric vehicle, User acknowledges and warrants that he/she is aware of the operation of the mentioned electric vehicle, and is competent and physically fit to ride the vehicle.

2. User understands that the electric vehicle requires periodic charging of its battery and thus agrees to use and operate with safely and judiciously being aware all of the limitations and requirements associated with the vehicle.

3. User shall not hold BIKELELE responsible in case of any misinformation arising due to any issue/defect of the display panel readings on the vehicle including speed, battery range, alerts and distance travelled.

4. User understands and is fully aware that Electric Vehicle batteries are combustible in nature and may cause explosion and will take care and ensure precaution to not tamper any electrical or mechanical components in the vehicle. User will undertake full responsibility of the vehicle in case of any such incidents.

5. It is User’s responsibility to check the level of charge power in the vehicle and mobile app and to ensure that it is adequate before initiating operation of the vehicle.

6. The distance and/or time that User may operate the vehicle before it loses charging power is never guaranteed. The vehicle may run out of charging power and cease to operate at any time during User’s rental of the vehicle, including before reaching User’s desired destination.

7. In case of an electric vehicle runs out of charging power during a rental, BIKELELE is not liable to provide a replacement battery to continue the ride. However, a battery charger would be provided to ensure the vehicle is charged by the user.

8. No charger other than the provided with the vehicle shall be used for charging the vehicle.

9.The User is to ensure the safe return of the charger while returning the vehicle back to BIKELELE to conclude the ride in compliance with the terms of this Agreement.

10. User undertakes and warrants that he/she shall never attempt to charge the battery, swap the battery (unless permitted by BIKELELE in specific circumstances) or in any manner attempt to interfere with the power-electronics or other electrical parts of the vehicle.

11. It is strongly advised to not frequently charge the battery if the riding period is short.

12. Frequent discharging of the battery below 30% is not advised for battery life. In addition, overcharging the battery for more than 6 hours is strongly prohibited.

13. Immediate use of the vehicle after charging is not advised. The user must allow a gap of at least 3o minutes before and after charging.

14. The user is not advised to switch on the vehicle while the battery is being charged.

15. In case of any damages to charger/battery/motor the customer is liable to pay the charges for the entire damage in addition to the penalty and loss of rentals.

16. Electric vehicles are classified under 150cc vehicle for any extra charges associated.
